By creating an account or using IAnalista Pro (the “Service”), you (“User” or “you”) agree to these Terms of Service (“Terms”) and our Privacy Policy, which are incorporated by reference. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and “you” includes both you and that organization.

IAnalista Pro is an AI-powered analyst platform that allows users to create specialized analyst workspaces, define structured data entities, interact with AI models via a chat interface, and generate business insights. Key features include:

• Multi-analyst workspace creation and management
• AI-generated data schemas, dashboards, and reports
• Integration with third-party data sources and APIs
• Document upload, parsing, and AI-assisted analysis
• Real-time AI chat powered by GipyAI

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

To access the Service you must register for an account. You agree to provide accurate, current, and complete information during registration and keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at security@ianalista.pro if you suspect unauthorized access.

You may not share your account credentials, transfer your account, or create multiple accounts to circumvent usage limits or restrictions.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble the platform
• Generate, distribute, or store content that is illegal, hateful, discriminatory, or defamatory
• Scrape, crawl, or systematically extract data from the Service without permission
• Use the Service to train competing AI models without our written consent
• Circumvent rate limits, quotas, or subscription restrictions
• Impersonate any person or entity, or misrepresent your affiliation

Violation of this section may result in immediate suspension or termination of your account.

The Service uses advanced large language models (LLMs) powered by GipyAI to generate text, data schemas, reports, and other outputs (“AI Content”). You acknowledge that:

• AI Content may be inaccurate, incomplete, or outdated. Always verify critical business decisions with qualified professionals.
• IAnalista Pro does not guarantee the accuracy, reliability, or fitness for a particular purpose of any AI Content.
• You retain ownership of inputs you submit to the AI; outputs generated are provided to you under the terms of this agreement.
• AI conversations may be reviewed by our team for safety, quality improvement, and abuse detection.
• You must not use AI Content to make high-stakes decisions (medical, legal, financial) without independent professional verification.

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share your information. By using the Service, you consent to the data practices described therein.

You retain ownership of data and content you upload or create in the Service (“User Data”). You grant IAnalista Pro a limited, worldwide, non-exclusive, royalty-free license to host, store, process, and display your User Data solely to provide the Service.

We implement industry-standard security measures to protect your data. However, no transmission over the internet is 100% secure, and we cannot guarantee absolute security.

The Service, including its design, code, trademarks, logos, and proprietary content, is owned by IAnalista Pro and its licensors and is protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

You may not use our trademarks, logos, or trade names without our prior written consent. Any feedback or suggestions you provide may be used by us without obligation to you.

Some features of the Service require a paid subscription (“Plan”). By subscribing, you authorize us to charge the applicable fees to your payment method on a recurring basis.

• Free Tier: Available with usage limits. No credit card required.
• Paid Plans: Billed monthly or annually. Prices are in USD unless otherwise stated.
• Cancellation: You may cancel at any time. Access continues until the end of the current billing period.
• Refunds: We offer a 14-day money-back guarantee for first-time paid subscriptions. No partial refunds for unused periods.
• Price Changes: We will notify you at least 30 days before any price increases.

Failure to pay may result in suspension of your account until outstanding amounts are settled.

You may delete your account at any time from the Settings page. Upon deletion, your data will be purged within 30 days, except where retention is required by law.

We reserve the right to suspend or terminate your access to the Service at our discretion, with or without notice, if we believe you have violated these Terms or applicable law.

Upon termination: (a) your license to use the Service ends immediately; (b) you must export any data you wish to retain before termination; (c) we may delete your User Data after 30 days.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We are not responsible for the actions or content of third-party integrations.

TO THE FULLEST EXTENT PERMITTED BY LAW, IANALISTA PRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) USD $100.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the federal or state courts located in Delaware, and you consent to personal jurisdiction in those courts.

If you are a consumer located in a jurisdiction with mandatory consumer protection laws, those laws may provide you with additional rights that these Terms cannot override.

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date and, for material changes, provide at least 30 days' notice via email or in-app notification.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree, you must stop using the Service and delete your account.
